These Terms & Conditions of Use (the “Terms”) govern your access to and use of the Site, LMS, and related services, deliverables, or software (collectively, the “Services”). By using the Site / LMS or engaging our Services, you accept these Terms. This template is not legal advice, have counsel review it.
1) Who We Are & What We Do
CEU Builder designs, delivers, and operates professional continuing education, marketing enablement, and related programs for manufacturers and design firms. Service details, guarantees, and compliance notes appear in your statement of work (“SOW”) and in Sections 5–7 below.
2) Acceptance & Scope
- These Terms apply to all Site / LMS use and to any mutually executed order form, proposal, quote, or SOW. If there is a conflict, the SOW controls for its scoped Services; these Terms control otherwise.
- Users must be at least 18. Business use is presumed.
3) Account Registration & Security (Site + LMS)
- Accounts & Roles. The LMS uses role-based access (e.g., Admin, Instructor, Student). You agree to create accurate accounts and keep credentials secure. You are responsible for all activity under your account.
- One person → one login. Sharing logins or circumventing access controls is prohibited.
- Verification. We may require identity, employment, or affiliation verification for certain roles or courses.
4) Website & LMS License; Acceptable Use
- Limited License. We grant you a non-exclusive, revocable, non-transferable license to access the Site / LMS and the content you’re authorized to view for internal professional development.
- Prohibited Conduct. You will not: copy / scrape course materials; bypass technical controls; upload malware; harass others; misrepresent identity or credentials; use the LMS to market unrelated products / services; or collect other users’ data beyond approved LMS features for educational purposes.
- Moderation. We may remove content, restrict features, or suspend accounts for violations.
5) Ordering, SOWs, Fees & Taxes
- SOWs. Services are delivered under a mutually executed SOW defining scope, deliverables, timelines, and fees. Changes require written approval and, if applicable, a change order.
- Fees/Pass-Throughs. Invoices are due net-15 unless stated otherwise. Reasonable pass-throughs (e.g., event costs, registry fees, captioning, webinar platforms) are your responsibility when applicable.
- Taxes. Fees exclude taxes; you are responsible for applicable taxes except those on our net income.
6) Service-Specific Terms & Guarantees
- Launch & Registrant Guarantees. If your SOW specifies a registrant guarantee or additional sessions as a remedy, those conditions apply (e.g., stakeholder access, review turnarounds, blackout dates, force majeure exclusions).
- Accreditation Assurance. If a first-pass accreditation fails for reasons within our control, we will correct and refile at no additional charge. Accreditation bodies are independent reviewers.
7) Compliance, Accreditation & Content Standards
- Generic, Non-Proprietary Content. Courses intended for IDCEC and similar bodies must be educational, generic, and non-promotional. You agree to supply evidence and references as needed.
- Attendance & Reporting. You acknowledge each accreditor’s attendance, expiry, and certificate rules and will assist us in meeting them.
- State Board Caveat. State boards set their own continuing education rules. Learners are responsible for their licensure compliance.
8) Student Terms (LMS)
- Enrollment & Access. Enrollments are personal and non-transferable. Access windows, prerequisites, and progression controls may apply. Content may be released on a schedule or based on progress.
- Quizzes, Assignments & Attempts. Courses may include quizzes with configurable question types and attempt rules, and assignments submitted through the LMS for review/grading.
- Completion & Certificates. Where enabled, certificates issue upon meeting course criteria.
- Academic Integrity. You will complete your own work; no unauthorized collaboration, misrepresentation, or tampering with proctoring / results.
9) Instructor Terms (LMS)
These apply if you are approved as an Instructor (guest faculty, rep trainers, or partner experts).
- Eligibility & Onboarding. Instructors must apply and be approved. We may verify identity / qualifications and require training on accreditation-safe content.
- Course Creation & Conduct. Materials must be accurate, lawful, and properly licensed; include citations / permissions; and comply with accreditation standards (no sales pitch in for-credit modules). You may use LMS tools such as quizzes, assignments, and content drip where enabled.
- Messaging / Reviews. Use LMS communications tools for education and learner support only; no off-platform solicitation without our written consent.
- Monetization & Payouts (If Enabled). Commission rates, payout thresholds, and schedules are set in platform settings and / or your SOW. Refunds/chargebacks follow Section 10 and your SOW.
- IP & Licenses. You retain ownership of your original course materials, granting CEU Builder a worldwide, royalty-free license to host, reproduce, adapt (e.g., compliance edits, accessibility), display, and distribute within our platform / channels to deliver and market the course. We retain templates, frameworks, and platform configurations. You are responsible for rights to any third-party content you use.
- Removal & Suspension. We may edit, unpublish, or remove courses and suspend instructor accounts for policy, legal, or accreditation reasons.
10) Payments, eCommerce & Refunds (LMS)
- Purchases. Paid courses / events, if any, are processed via our selected eCommerce / payment providers.
- Refunds. Digital education is typically non-refundable once content is accessed or a live seat is reserved; specific refund terms are posted at point-of-sale or in your SOW.
- Price / Availability. We may modify prices, bundles, or availability prospectively.
11) Data, Privacy, Analytics & Communications
- What We Process. Names, emails, firm/role, progress, quiz / assignment results, attendance, certificates, and related metadata to deliver the Services, run analytics, and provide outcomes reporting. Some LMS reports surface student progress, course performance, reviews, and (if enabled) sales / earnings.
- How We Use It. Solely to provide, secure, improve, and support the Services; not sold. A Data Processing Addendum (DPA) can be executed and controls for data matters.
- Email & Notices. The platform may send transactional / service emails (e.g., enrollments, reminders, assignments) to learners and instructors.
- Privacy Policy. Our Privacy Policy explains data practices and user rights and is incorporated by reference.
12) User-Generated Content; DMCA
- UGC Responsibility. You are responsible for content you upload (text, images, audio / video, comments, files).
- License to Us. You grant CEU Builder a license to host, reproduce, modify (e.g., compress, transcode, caption), and display your UGC to operate the Services.
- DMCA. For alleged infringement, send notices to: [DMCA Agent Name], [Address], [Email]. We may remove material and, where appropriate, terminate repeat infringers.
13) Support, Availability & Changes
- Support. We provide platform support for learners and instructors. Not every LMS feature is active in every course.
- Availability. High availability is our aim but not guaranteed. Maintenance windows and third-party outages may occur.
- Course Changes. We may update, replace, or retire courses, modules, or features at any time.
14) Intellectual Property (CEU Builder)
Except for Your Materials and UGC, the Site / LMS, CEU Builder trademarks, designs, templates, frameworks, automations, and other content are owned by CEU Builder or its licensors and protected by law. No license is granted except as expressly stated.
15) Warranties & Disclaimers
- We perform Services with reasonable skill and care.
- Otherwise, the Site / LMS and content are provided “as is” and “as available,” without other warranties (including merchantability, fitness for a particular purpose, or non-infringement).
- We do not guarantee specific board approvals, course outcomes, or uninterrupted operation.
16) Limitation of Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, cover, or punitive damages; and (b) each party’s aggregate liability is capped at amounts paid or payable by you to us for the 12 months preceding the claim. Nothing limits liability for willful misconduct or IP indemnity.
17) Indemnification
- By You. You will defend and indemnify CEU Builder against claims arising from Your Materials / UGC, your misuse of the Services, or your violations of law or third-party rights.
- By Us. We will defend and indemnify you against third-party claims that our deliverables (as provided) infringe IP rights, excluding claims caused by your materials, modifications, or misuse.
18) Term, Termination & Suspension
These Terms begin when you first use the Site / LMS or sign an SOW and continue while Services are provided. We may suspend or terminate access immediately for violations, legal risk, or harm to others; otherwise, either party may terminate an SOW for uncured material breach after 15 days’ notice. Sections that should survive (fees, IP, confidentiality, limitations, indemnities) survive.
19) Governing Law; Dispute Resolution
Governing law: Texas, USA. Before any formal action, the parties will attempt good-faith resolution and then participate in non-binding mediation in Harris County, TX. Venue and jurisdiction for litigation: state or federal courts in Harris County. Jury trial waived to the extent permitted by law.

21) Miscellaneous
- Independent contractors.
- No assignment without consent.
- Severability; no waiver by delay.
- Entire agreement: these Terms + SOW + DPA + course-specific policies.
22) Definitions
- “LMS” means our learning management system.
- “Instructor” means an approved account permitted to create or deliver course content.
- “Student” means an account enrolled in one or more courses.
- “UGC” means user-generated content uploaded by you.
- “SOW” means a mutually executed statement of work describing Service scope.
- “Course” means a collection of lessons, assessments, assignments, and related materials within the LMS.
Appendix A: LMS Feature Disclosures (Informational)
To set expectations about what our platform can support (not a guarantee that every feature is active for every course): distinct roles / permissions (Admin / Instructor / Student); quizzes with multiple question types and attempt settings; assignments with uploads and grading; time- or progress-based content release (“content drip”); course and learner progress reports; and, if enabled, instructor commissions with balances / withdrawals configured by site admins or SOW.
